Provider: Trace First Limited (“Provider”)


1. Acceptance of Terms

By selecting “I Agree” or otherwise accessing or using TraceVet.com (“Application”), you (“User” or “Veterinarian”) confirm that you have read, understood, and agree to be legally bound by this End User License Agreement (“Agreement”).

If you do not agree to these terms, do not access or use the Application.


2. License Grant

Provider grants you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for the purpose of preparing, managing, and submitting electronic Certificates of Veterinary Inspection (“eCVIs”) and related records, in accordance with applicable federal and state veterinary regulations.


3. Eligibility and Accreditation

Use of the Application is strictly limited to veterinarians currently accredited by the United States Department of Agriculture (USDA) under 9 C.F.R. Part 161 and any relevant state veterinary authorities.

  • You acknowledge that your right to use the Application depends entirely on your current, active accreditation status.
  • You agree to immediately cease all use of the Application upon expiration, suspension, or revocation of your federal or state accreditation, for any reason.
  • You accept full personal liability for any continued or unauthorized use of the Application after your accreditation lapses, including any resulting regulatory, civil, or criminal consequences.
  • You acknowledge that continued use after loss of accreditation constitutes a breach of this Agreement and may violate applicable federal or state laws.

4. Compliance with Laws

You are solely responsible for ensuring that your use of the Application complies with all applicable federal, state, and local laws and regulations, including but not limited to:

- USDA Animal and Plant Health Inspection Service (APHIS) regulations (9 C.F.R. Parts 160–162);

- State animal health and movement laws; and

- Any applicable professional licensing or recordkeeping obligations.


5. No Warranty

The Application is provided “AS IS”, without warranty of any kind, express or implied, including but not limited to warranties of:

- Merchantability,

- Fitness for a particular purpose,

- Accuracy, completeness, or reliability, or

- Non-infringement.

The Provider makes no representations regarding the accuracy or timeliness of any data, records, or certificates created or transmitted through the Application.

You acknowledge that the Provider does not guarantee uninterrupted or error-free operation of the Application and that system failures or data errors may occur.


6. Limitation of Liability

To the maximum extent permitted by applicable law, the Provider, its affiliates, officers, employees, and licensors shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to:

- Loss of data, profits, revenue, or goodwill;

- Errors or omissions in certificates or records;

- Regulatory penalties; or

- Any damages arising from unauthorized access, use, or inability to use the Application.

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory, even if the Provider has been advised of the possibility of such damages.


7. User Responsibility

You are solely responsible for:

- Verifying the accuracy and completeness of all data and certificates;

- Maintaining your own backup copies of all records;

- Ensuring that your use complies with all legal and professional obligations; and

- Maintaining secure access credentials to prevent unauthorized use.

The Provider assumes no responsibility for your actions or for any third-party reliance on data generated by the Application.


8. Indemnification

You agree to indemnify, defend, and hold harmless the Provider, its affiliates, and their respective officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

- Your use or misuse of the Application;

- Any violation of this Agreement;

- Any use of the Application after your accreditation lapses; or

- Any alleged or actual violation of law or regulation by you.


9. Termination

The Provider may suspend or terminate your access to the Application at any time, with or without notice, for any reason, including but not limited to:

- Breach of this Agreement;

- Misuse of the Application; or

- Regulatory directive or system update.

Upon termination, you must immediately discontinue all use of the Application and destroy any copies of materials obtained through it.


10. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of [Insert Governing State], without regard to its conflict-of-laws principles.

You agree that any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in [Insert County, State], and you consent to the personal jurisdiction of those courts.


11. Entire Agreement and Amendments

This Agreement constitutes the entire understanding between you and the Provider regarding the Application and supersedes all prior agreements or understandings.

The Provider reserves the right to modify this Agreement at any time by posting an updated version within the Application. Continued use of the Application after such changes constitutes your acceptance of the modified terms.


12. Digital Acceptance

By selecting “I Agree”, clicking “Accept,” or otherwise proceeding to use the Application, you:

- Affirm that you have read and understood this Agreement in its entirety;

- Acknowledge that you are a duly accredited veterinarian authorized to use the Application; and

- Accept full responsibility for your use of the Application and for any consequences of misuse or continued use after loss of accreditation.
